Existing agreements, protected introductions and commission rights may continue with a successor that acquires the marketplace business.
Between the operator of Super Intelligent Domains (“SID”) and the person or entity submitting an accepted domain (“Owner”).
Owner represents that it owns or controls the domain, has authority to offer it for sale, and will provide reasonable evidence of control if requested. Owner retains ownership until a sale completes.
Submission does not guarantee acceptance. SID may accept, decline, edit the presentation of, suspend or remove a listing. Listing does not transfer ownership to SID.
Owner decides whether to accept an offer. SID may facilitate communications or negotiations but cannot bind Owner unless separately authorised in writing.
No upfront listing fee is charged. If a transaction completes with a buyer introduced by SID, Owner pays SID 10% of the gross domain purchase price, subject to a US $250 minimum commission.
An identifiable prospective buyer introduced through SID is a “Protected Buyer” for 36 months from the documented introduction date. If that buyer acquires the domain during that period, commission remains payable even if the parties later transact directly.
Protection also applies where acquisition is completed by an affiliate, parent, subsidiary, controlled entity, agent, nominee or other person/entity demonstrably acting for the Protected Buyer. A transaction may not be structured primarily to avoid an otherwise payable commission.
Owner may request listing removal. Removal ends future marketing but does not cancel Protected Buyer rights created before removal; each continues for the remainder of its 36-month period.
A sale will use a mutually acceptable secure payment and domain-transfer process. Unless separately agreed, Owner remains responsible for completing the domain transfer and for taxes or obligations arising from Owner’s proceeds.
Owner is responsible for the submitted domain and represents that its submission and proposed sale do not knowingly violate another party’s rights. SID does not guarantee absence of trademark or other third-party claims.
SID may retain reasonable business records of enquiries, introductions, listing status and transaction communications to administer the agreement and establish Protected Buyer introductions.
SID may assign or transfer this Agreement and associated rights and obligations to an affiliate or purchaser/successor acquiring all or substantially all of the SID marketplace business or relevant assets. Transfer does not terminate existing Protected Buyer Periods, accrued rights or commission entitlements. They continue for the successor operator. Owner may not transfer rights or the domain primarily to defeat an existing Protected Buyer or commission obligation.
SID is an independent marketplace/introduction service and is not the .si registry, a registrar, Owner’s legal adviser, or purchaser unless expressly stated.
The intended governing law is North Carolina, USA. The binding version should include final dispute, notice, electronic-consent, privacy and other standard provisions following qualified legal review.
Commission, Protected Buyer, anti-circumvention, records, assignment/succession and pre-termination introduction provisions survive withdrawal or termination as necessary to give them effect.
